其實句子本身就有提示了
句子的一開始 Agreeing to ....., the firm ......
Agreeing to省略主詞 the firm
Agreeing to 是主動，所以代表 the firm 可以擬人，不需用被動
所以當然是 will be merging 或是 will merge
至於為何是will be merging，應該是強調未來馬上進行吧
看看前面的 eventually is phasing out the business 也是用進行式就知道了
不過這個題目有錯誤的地方，應該是
Agreeing to .... and eventually being phasing out ...., the firm ....
~~~~~~~~ ~~~~~~~~~~~~~
才對
