E. Equitable Relief.
Receiving Party acknowledges and agrees that due to the unique nature of Discl
osing Party’s Proprietary Information, there can be no adequate remedy at law
for any breach of this Article XV, that any such breach may allow Receiving P
arty or third parties to compete unfairly with Disclosing Party resulting in i
rreparable harm to Disclosing Party that would be difficult to measure, and th
erefore, that upon any such breach or threat thereof, Disclosing Party shall b
e entitled to injunctive and other appropriate equitable relief (without the n
ecessity of proving actual damages), in addition to whatever remedies it may h
ave at law.
