LOI = Letter of Intent 簽訂MOU與LOI應注意之要點： (1) MOU與LOI由於都是當事人意思表示的合致，故均可能成為有拘束力的契約 ^^^^^^^^^^^^^^^^^^^^^^^^^^ (2) 契約法的基本原則與規定亦可能適用於MOU或LOI。 (3) 若不欲為此等形式的契約拘束，宜在MOU或LOI中明定其約定對雙方當事人並無拘束力（not binding），若未特別聲明，可能會被認為具有拘束力而引發爭議。 ^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^^ (4) 由於在正式契約簽訂時，都會以entire agreement的約定，利用Parol evidence rule的方式，將MOU或LOI的約定予以排除，因此在簽訂正式契約前，應確定MOU或LOI的內容已經真實且完整的反應在最終契約之中，若有不符應立即提出異議，以免日後橫生支節。例如在經濟部與國外業者所簽訂的策略聯盟意向書（LOI）中，就明確的有下列的規定： No Binding Effect. This LETTER OF INTENT does not establish a joint venture, partnership or any other business association between the parties nor does it commit either party to take any of the actions contemplated by this LETTER OF INTENT. 經濟部策略聯盟意向書的其他有趣規定： Definitive Agreement. The parties understand that this LETTER OF INTENT reflects their discussions and viewpoints exchanged to date but does not contain all matters upon which agreement must be reached. Termination. Either party may terminate this LETTER OF INTENT unconditionally at any time.
