如果不是誤寫
則這裡的representaions我想應該是泛指任何有代表權的機構
二、representation and warranty
理論上而言 warranty 要擔保的內容通常是契約的本質部份，
意在確保契約可遂其目的
而representation 要擔保的則是較次要的內容
意在降低契約隱含的損害風險
但一般的契約中也可能不加以區分，而混寫在一起
總之就是承諾、保證或擔保之意
三、arising out of 我想基本上就是它字面的意思
由...所造成
因...而引起
四、hold Manufacturer harmless
我的理解是，這要跟protect對照來讀
也就是protect是積極的作為
hold Manufacturer harmless則是消極的不作為
這個部份在翻譯的時候會有些麻煩
具體而言，
契約基本上只在雙方當事人之間有效
這項擔保的約定，也不會對終端的消費者產生任何效力
換句話說，消費者選擇要向誰，經銷商或製造商，主張他的權益
誰也管不著的
此時法院的判決基本上也不受限於雙方的約定
雙方有可能先後或同時都是被告
因此，這個約定有可能主要針對的只是契約雙方而已
也就是經銷商自始放棄，在契約限定的情況下，向製造商循法律途徑追究責任的權利
這也就是hold harmless要表達的意思
針對的是claim
當然，也有另一種可能性
就是要指當消費者（第三方）直接向製造商求償的時候
製造商可以再向經銷商索回賠償金
經銷商則必須出這筆錢、甚至包括訴訟費用
這則是protect的部份
針對的是loss
